Terms of service.
Draft 1. Last updated: .
These terms are an agreement between you and Ryan Stempski, a sole proprietor in Florida, who runs RepSidecar (“RepSidecar”, “we”, “us”). To contact us, use the contact form. We do not publish an email address.
Read these terms with the Refund policy, the Privacy page, the Sub-processor list and the Retention table. If these terms and a page on the website disagree, these terms apply.
Section 17 has an arbitration clause and a class action waiver. It affects how disputes are settled. Draft: under legal review
How these terms are organized
- Part A applies now. It covers the website, the waitlist, the contact form and the founding reservation.
- Part B applies when the app ships, and to any test build we give reservation holders before that (section 3.12). It covers the RepSidecar Mac app, the trial, the Pro subscription, fair use and recording consent. The app is not released. Where Part B describes the app, it describes how the app is built to work. We will test each app statement before launch.
- Part C applies to everything. It covers disclaimers, liability, law and disputes.
Part A. Now: website, waitlist and reservation
1. Who can use RepSidecar
1.1. You must be at least 18 years old.
1.2. Draft: under legal review RepSidecar is offered in the United States only at launch. You may not reserve or subscribe from outside the United States.
1.3. Draft: under legal review RepSidecar is made for people who sell as part of their work. You agree that you use it for your business or professional work. We still give every buyer the auto-renewal rights in section 9, even where the law does not require them.
2. The website, waitlist and contact form
2.1. The waitlist and contact forms send the fields listed on the Privacy page to a private Google Sheet. The Retention table says how long each item is kept.
2.2. Joining the waitlist costs nothing and does not reserve a place, a price or a product.
2.3. To stop waitlist emails, or to ask us to delete your entry, use the contact form.
3. The founding reservation
The reservation is planned. It is not open. It opens only after these terms, the refund policy, the privacy page and the sub-processor list are live.
3.1. What you pay. Draft: not final You pay $29 once, by card, through our payment processor (named here before the first payment). We do not charge you again for the reservation. We do not set up a recurring charge when you reserve. We do not ask our payment processor to save your card for later charges.
3.2. What the $29 buys. The $29 is your first month of RepSidecar Pro at the founding price, if you choose to subscribe when the app ships. A reservation also includes two 20-minute feedback calls with Ryan Stempski, the founder.
3.3. What exists today. The app is not released. The reservation page shows what exists today (a recording of a test build) and what is planned to ship. You are paying for a refundable place, not for a finished product.
3.4. Opt-in at ship. When the app ships, we email you. You then choose one of two options:
- Start the $29 a month founding subscription through a new checkout. If you start it, your first month is the month your $29 already paid for, and your card is charged $29 a month after that month, until you cancel.
- Take a full refund of your $29.
Nothing is charged again unless you choose the first option. We do this because a later recurring charge needs your fresh, informed consent (15 U.S.C. 8403).
3.5. Refund on request. Draft: not final Draft: under legal review You can ask for a full refund of your $29 until 30 days after first use or April 21, 2027, whichever comes first. That includes any time before first use.
“First use” means the first live call coached by the release build that we email you about at ship. Calls on a test build before ship (section 3.12) do not start the 30 days.
3.6. Automatic refund if not confirmed. If you have not confirmed your subscription by April 21, 2027 (planned), we refund your $29 automatically on that date. You do not need to ask.
3.7. Automatic refund if there is no working build. Draft: not final If no working build exists by March 22, 2027 (proposed, not final), we refund every reservation automatically. A working build is a signed Mac app that installs on an Apple Silicon Mac and coaches a live call. A working build “exists” when it is available for reservation holders to download. The date is proposed and can still change before reservations open. The date in force on the day you reserve is the date for your reservation, and we will not move it later.
3.8. If we stop before building. Draft: not final If we decide not to build RepSidecar, we refund every reservation in full and tell you by email.
3.9. How refunds are paid. Every reservation refund is the full $29, paid back to the card you used, through our payment processor. We do not keep a fee. When the money reaches your account depends on your bank.
3.10. Founding price. Draft: not final If you confirm, you get the founding price in section 11. The founding price is limited to the first 100 subscriptions.
3.11. The reservation is not a subscription. A reservation does not renew. It is a one-time payment with the refund rights above.
3.12. Test builds before ship. Draft: under legal review Draft: not final Before the app ships, we plan to give reservation holders a test build so that each holder can coach a live call. If you use a test build, sections 5 (license), 6 (consent on your calls), 7 (what leaves your Mac), 10 (fair use), 12 (coaching is not advice), 15 (disclaimers) and 16 (indemnity) apply to that use, and your license lasts while your reservation is open. A test build can have errors. Test-build use does not start the refund clock in section 3.5.
4. Payments
4.1. Our payment processor handles all payments. We do not see or store your full card number. Its role and its privacy terms are in the Sub-processor list.
4.2. Prices are in US dollars. Sales tax, if any, is added at checkout where the law requires it.
Part B. When the app ships
Design, not yet tested. Each line below will be tested and dated before launch.
5. License to use the app
5.1. Draft: not final While your trial or subscription is active, we give you a personal, non-exclusive, non-transferable license to install and use the RepSidecar app on your own Mac, for one person.
5.2. You may not copy, resell, share, rent or sublicense the app or your license key. You may not reverse engineer the app except where the law allows it. You may not try to get around fair use, the usage ceiling or the license check.
5.3. The app needs an Apple Silicon Mac and a supported macOS version. The app will ask for macOS permissions to hear call audio. The app is built to work only after you give those permissions.
6. Your responsibility for consent on your calls
6.1. You are responsible for consent. Draft: under legal review RepSidecar is a tool that you run on your own Mac, on calls that you take part in. You promise that, for every call on which you use RepSidecar, you will tell the other people on the call that it is transcribed, and you will get every consent that the law requires.
6.2. One-party and all-party consent. Draft: under legal review US laws on recording and listening to calls are different from place to place.
- In some states, one person on the call (you) can consent for the call.
- In other states, all of the people on the call must consent. Florida is one of these. Florida law allows interception only when “all of the parties to the communication have given prior consent” (Fla. Stat. 934.03(2)(d)). California makes it a crime to record a confidential communication “without the consent of all parties” (Cal. Penal Code 632(a)).
- When the people on a call are in different states, the stricter rule can apply. The safe rule is to get consent from everyone on every call.
We do not give a full list of states here, because lists disagree and laws change.
6.3. What the app is built to do to help you. The app is built to show a one-line consent prompt and a script you can read aloud at first run and at each new call, a reminder that rules differ by state, a “Guests told” toggle, and a visible “Listening” indicator. These tools help you. They do not get consent for you, and they are not legal advice.
6.4. What you may not do. You may not use RepSidecar:
- to record, transcribe or listen to a call that you are not a party to;
- to hide from people on a call that it is transcribed, where the law requires you to tell them;
- in any place or on any call where recording or transcription is against the law;
- to harass, deceive or impersonate any person.
6.5. Calling platforms. Draft: under legal review The meeting app you use and your employer can have their own rules on recording and on third-party tools. You are responsible for following them. RepSidecar is not made, sponsored or supported by any meeting app.
6.6. Draft: under legal review If you break this section, you agree to the indemnity in section 16.
7. What leaves your Mac
7.1. RepSidecar is built so audio stays on this Mac. It is built to transcribe audio on this Mac. It is built not to save audio by default.
7.2. Transcript text is built to go in short pieces through RepSidecar’s relay to our AI provider to write cards. The pieces go as the call runs. The wrap after the call needs the whole call. Over one call most or all of the transcript can leave this Mac this way. The relay is built to store no transcript text. We plan to publish the dated test that checks this before launch.
7.3. Our planned AI provider is Anthropic, under its commercial API terms. Those terms say Anthropic may not train models on customer content. Anthropic’s own retention rules are in the Sub-processor list.
7.4. The app is built to send your license key, a count of calls and call-hours, so we can bill and apply fair use. It is also built to send one “call coached” event per call, with the build number and a timestamp. The event has no call content.
7.5. Crash reports are optional and are built to stay off until you turn them on.
7.6. You own your call content. You give us only the rights we need to pass transcript text through the relay to the AI provider to make your cards and wrap. We do not sell your data. We do not use your call content to train models.
8. The trial
8.1. Draft: not final The trial is 14 days, up to 10 calls, whichever comes first.
8.2. The trial needs no card. When the trial ends, it stops. It does not turn into a paid subscription, and we do not charge you. To keep using RepSidecar, you start a subscription.
8.3. Draft: not final One trial per person.
9. The Pro subscription and auto-renewal
9.1. Prices. Planned: RepSidecar Pro is $39 a month, or $29 a month billed yearly ($348 a year). Planned founding price: $29 a month, locked, for the first 100 subscriptions (section 11).
9.2. Auto-renewal terms. These are the terms of your subscription. We show them again next to the button at checkout, and we ask you to agree to them separately before we charge you.
- Your subscription continues until you cancel.
- A monthly plan renews every month. A yearly plan renews every year.
- We charge the card you gave at checkout at each renewal: $39 a month, $348 a year, or $29 a month on the founding price, plus any tax.
- The amount can change only as section 9.6 says. The founding price is locked as section 11 says.
- There is no minimum purchase. You can cancel at any time.
- The cancellation and refund rules are in section 9.4 and the Refund policy.
9.3. Confirmation. After you subscribe, we send you an email that you can keep. It has these terms, the cancellation policy and how to cancel.
9.4. How to cancel. Draft: not final Draft: under legal review You can cancel online at any time, with no call and no extra steps:
- use the “Manage subscription” link in any receipt email, which opens our payment processor’s billing page, where you can cancel at once; or
- send a cancellation request through the contact form.
When you cancel, you are not charged again. Your access continues until the end of the period you already paid for, unless you also ask for a refund under the Refund policy. If we show you an offer when you cancel, a “Cancel” button stays on the same screen.
9.5. Yearly reminders. Draft: under legal review If you are on a yearly plan, we email you 30 to 45 days before each renewal. If you are on a monthly plan, we email you once a year. Each reminder says:
- what RepSidecar Pro is, and that the plan renews unless you cancel;
- the length of the renewal period, and any other renewal terms;
- the amount and frequency of the charges;
- how to cancel, with a link to the cancellation page;
- how to contact us (the contact form link).
The yearly-plan timing is meant to meet Florida’s 30-to-60-day notice (Fla. Stat. 501.165(2)(b)) and California’s 15-to-45-day notice (Cal. Bus. & Prof. Code 17602(b)(2)), which must carry the items in 17602(a)(8). California’s yearly reminder (17602(h)) covers annual and continuous-service agreements, so we send it on monthly plans too.
9.6. Price changes. If we change the price of your plan, we email you 30 days before the change takes effect, with how to cancel. California requires this notice no less than 7 and no more than 30 days before the change (Cal. Bus. & Prof. Code 17602(g)(2)). A price change does not apply to a founding subscription while it stays active.
9.7. Other material changes. If we make a material change to your subscription, such as a change to fair use, we email you first, with how to cancel (Cal. Bus. & Prof. Code 17602(g)(1)).
9.8. Failed payments. Draft: not final If a renewal payment fails, our payment processor tries again. If the payment is not made, your subscription ends.
10. Fair use and the usage ceiling
10.1. Draft: not final Fair use on every plan is 30 call-hours a month of coaching. Within those hours, AI-written cards are subject to the usage ceiling in section 10.2.
10.2. Draft: not final The relay is built to apply a monthly usage ceiling on AI provider cost for each license. If you reach the ceiling before the month ends, the app is built to keep showing cards from on-device features only, with a notice in the app, until the next month starts.
10.3. Draft: not final We can change fair use or the ceiling, up or down, for every plan, founding subscriptions included. We give you 30 days’ notice by email, with how to cancel. If you do not want the change, you can cancel before it takes effect and get a refund for any unused paid time.
11. The founding price
11.1. Draft: not final Planned founding price: $29 a month, locked, for the first 100 subscriptions. We count subscriptions in the order their first payment is made. A reservation counts from the day you paid the $29, so a holder who confirms keeps a founding place even if others subscribe first.
11.2. The founding price is locked with no end date while your subscription stays active. The lock is on price only. “Active” means your subscription has not ended. It ends if you cancel and the paid period runs out, or if a renewal payment fails and is not made (section 9.8). If it ends, the founding price ends, and a new subscription is at the price of that time.
11.3. The lock does not cover fair use or the usage ceiling (section 10). It does not cover taxes.
11.4. Draft: not final The founding price is for the monthly plan.
12. Coaching is not advice
12.1. RepSidecar is built to give sales coaching. Its cards and wraps are suggestions made by software from the words in your call. They can be wrong, late or missing. You decide what to say and do. You are the one on the call.
12.2. RepSidecar does not give legal, financial, tax, investment or employment advice. Nothing in the app, on the website or in these terms is legal advice, including the consent prompt and the state reminder.
12.3. RepSidecar does not read emotion. Cards come from words and actions in the transcript.
12.4. We do not promise any sales result.
13. Sales methods Draft: under legal review
RepSidecar is built to coach in the method you pick. The default coach is built to use the founder’s own selling style. Method packs are generic descriptions written by RepSidecar. They are not made, sponsored or licensed by the owners of any named sales method.
14. Updates and support
14.1. The app is planned to update itself. Some updates may be needed for the app to keep working.
14.2. Support is through the contact form. We do not promise a response time.
Part C. Everything
15. Disclaimers and limit of liability Draft: under legal review
15.1. RepSidecar is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that RepSidecar will work without errors or interruptions.
15.2. To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost deals or lost data.
15.3. Draft: under legal review To the extent the law allows, our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim, or $100.
15.4. Some states do not allow some of these limits. In those states, the limits apply only as far as the law allows.
16. Indemnity Draft: under legal review
You agree to defend and pay for claims against us, and our costs, that come from your use of RepSidecar on a call without the consent the law requires, or from your breach of section 6.
17. Disputes: arbitration and class action waiver Draft: under legal review
17.1. Talk first. Before you start a claim, send us a description of the dispute through the contact form. We will try to settle it within 30 days.
17.2. Arbitration. Draft: under legal review If we cannot settle it, the dispute will be settled by binding individual arbitration, not in court.
17.3. Small claims. Either of us can bring an individual claim in small claims court instead.
17.4. Class action waiver. Draft: under legal review You and we may bring claims only for ourselves, not as a plaintiff or class member in a class, collective or representative action.
17.5. Opt-out. Draft: under legal review You can opt out of arbitration by telling us through the contact form within 30 days after you first accept these terms.
17.6. Draft: under legal review If the class action waiver is found unenforceable for a claim, that claim goes to court, not to arbitration.
18. Governing law Draft: under legal review Draft: not final
These terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-law rules. Any matter that is not in arbitration goes to the state or federal courts in Florida. This choice does not take away any rights that the law of your own state gives you and that cannot be waived.
19. Ending these terms
19.1. You can stop using RepSidecar at any time.
19.2. We can suspend or end your access if you break section 5 or 6, or if the law requires it. If we end your access without cause, we refund any unused paid time.
19.3. Draft: not final If we stop offering RepSidecar, we tell you by email at least 30 days before, and we refund any unused paid time.
20. Changes to these terms
We can change these terms. If a change matters to you, we email you at least 30 days before it takes effect and show the date at the top. If you do not agree, you can cancel before the change takes effect. A change does not affect a reservation already paid, unless the change helps you. A change to price follows section 9.6 and a change to fair use follows section 10.3.
21. Other terms
21.1. If a part of these terms cannot be enforced, the rest stays in effect.
21.2. If we do not enforce a term, we do not give up the right to enforce it later.
21.3. Draft: not final Draft: under legal review You may not transfer these terms. We can transfer them to a buyer of RepSidecar, and we will tell you first.
21.4. These terms, the refund policy, the privacy page, the sub-processor list and the retention table are the whole agreement about RepSidecar.
